      Transaction Advisory Services

      Houlihan Lokey’s Transaction Advisory Services (TAS) team assists private equity and corporate clients by providing cohesive diligence across financial, tax, data analytics, cybersecurity, and technical accounting. Leveraging data-based insights, strong technical knowledge and industry experience, the TAS team supports clients in M&A, strategic transformations and capital markets endeavors.

      Drawing on Houlihan Lokey’s market leadership in middle-market M&A transactions, our deals experts provide candid, unbiased, and rigorous support on matters most impacting deal value, and assist investors in identifying and evaluating key value drivers and risk factors.

      Job Purpose:

      We are excited to be growing our M&A Tax team with the addition of a team member at the Associate level focused on Capital Markets Tax. This person would work closely with HL’s existing officer level professionals in managing tax projects related to our mergers and acquisitions, capital markets, financial restructuring, and financial and valuation advisory practices.

      Our M&A Tax professionals help private equity, strategic clients, and founders increase value through thoughtful, tax-advantaged transaction structuring as well as identification and mitigation of relevant historical and projected tax risks. Our national team of tax professionals brings a significant breadth of tax expertise from Big 4 accounting firms, law firms, and Fortune 500 companies. We advise on acquisitions, divestitures and joint ventures. We provide tax restructuring advice to debtors, creditors and acquirers of distressed assets. We advise on the tax aspects of financial strategies. We offer an entrepreneurial platform where we challenge our professionals to innovate on tools and deliverables that fit client and industry needs and take them to the market.

      Responsibilities and Deliverables:

      • Collaborate across our financial and tax transaction advisory teams to perform tax structuring and tax modeling in connection with transactions across various industries.
      • Advise on distressed company restructuring including optimization and preservation of valuable tax attributes, mitigation of tax costs related to cancellation of indebtedness income, impact of debt instrument rules, and worthless stock deduction analysis
      • Provide Sections 108, 368, 382, 384, 368 and related consolidated regulations analyses
      • Provide technical tax and engagement execution support for our capital markets initiatives in transferrable IRA clean energy tax credits and tax receivable agreements
      • Create best practice deliverables that align with key industry verticals within our platform
      • Collaborate across our platform of valuation specialists on key tax components of large restructurings and recapitalizations
      • Participate in developing thought leadership around market trends and value added tax opportunities
      • Develop and maintain relationships with key clients and internal stakeholders

      Basic Qualifications:

      • Must have at least 3 to 6 years of experience performing tax compliance, tax structuring, tax credit and other tax attribute analysis, and other M&A related tax advisory work
      • Undergraduate degree from an accredited institution
      • Attention to detail and ability to problem-solve
      • Good communication skills
      • Good tax research skills
      • Good PowerPoint presentation skills for illustrative tax structuring decks
      • Excellent Excel modeling skills, including modeling of distressed company tax restructuring scenarios
      • Enthusiasm to build strategies, innovate, and drive tax opportunities to market

      Preferred Qualifications:

      • Tax advisory experience in a Big 4, Big Law firm or comparable environment
      • An exceptional work ethic
      • Ability to work on multiple projects simultaneously with varying deadlines
      • Personable and a team player orientation
      • Accounting or finance-related emphasis in undergraduate/graduate studies
      • Preference for advanced degree/certification including JD, LLM, MST and/or CPA

      Salary Range

      Houlihan Lokey is committed to providing its employees with an exciting career opportunity and competitive total compensation package, which may include other components such as discretionary incentive compensation. The firm’s good faith and reasonable estimate of the possible salary range for this role at the time of posting is:

      $95,000.00-$160,000.00

      Actual salary at the time of hire may vary and may be above or below the range based on various factors, including, but not limited to, the candidate’s relevant qualifications, skills, and experience, as well as the service line and location where this position may be filled.
