      The opportunity

      Reporting directly to the Senior Vice President & General Counsel (SVP&GC) working as part of the Office of General Counsel and Compliance ("OGCC") team, the Associate General Counsel is a senior-level position within the OGCC's legal professional career progression. You will help provide general legal services on behalf of the University to all the College's constituencies, including the Board of Trustees, senior administrators, faculty, and staff, with a specialized focus on data privacy and business transactions.

      Your Primary responsibilities will include ensuring overall compliance by the University with applicable laws and regulations at the local, state, federal, and international levels. You may also be called upon to provide general legal support, research, and special projects in the full array of areas handled by the OGCC, such as academic and student affairs, sponsored research, international programs, governance, policies, human resources, purchasing, real estate, construction, intellectual property, and litigation matters. You can work remotely, hybrid, or in the office in this position. #LI-Remote

      What you'll do:

      • Advise on and ensure University compliance with privacy laws and regulations domestically and internationally.
      • Draft and update privacy practices.
      • Provide legal analysis and risk assessment related to privacy, data protection, and information security issues.
      • Coordinate with interdisciplinary teams to conduct privacy impact assessments.
      • Counsel partners and senior leadership on data privacy and protection.
      • Respond to privacy incidents and breaches, including guiding notification and reporting requirements.
      • Stay informed of relevant legal and regulatory changes in privacy law and anticipate possible impacts on the company.
      • Interface with regulatory authorities and the University's internal information security office.
      • Review, negotiate, and draft commercial contract terms, including software and SaaS agreements, data processing and and data security addenda, non-disclosure agreements, and marketing and partnership agreements.
      • Develop and revise standard University contract templates.
      • Work directly with the relevant administrators and faculty, draft, review, and revise purchase agreements, license agreements, inter-institutional agreements both domestic and international, sponsored research agreements, location agreements, and other contracts.
      • Prepare documentation necessary to implement program initiatives and achieve our goals related to legal or compliance efforts, working with interdisciplinary teams.
      • Conduct special projects as assigned by the SVP & GC.
      • Maintain portfolio for specialty areas designated by the SVP & GC.
      • Conduct legal research and analysis and draft legal memoranda.
      • Keep current on developments in law and regulation at the federal, state and local level about higher education institutions.
      • Draft correspondence, policies, and reports on behalf of the OGCC.
      • Gather and manage discovery materials and processes for outside counsel in litigation matters.
      • Represent the OGCC at specified internal or external meetings.
      • Assist as a legal representative in risk management and compliance activities.
      • Deliver appropriate training to University community members.

      What we're looking for:

      • A law degree from an ABA-accredited law school required.
      • 7+ years of experience practicing law with exposure to privacy laws and regulations.
      • Admission to practice before appropriate state and federal courts may be required.
      • Member of the New Hampshire Bar Association required or eligible for admission and admitted within one year of employment.
