- Provide legal representation to RFCC, operating with a significant degree of autonomy.
- Review grants and other program-related work for compliance with regulations governing RFCC as a tax-exempt public charity.
- Advise RFCC management and staff on laws applicable to public charities.
- Provide support to RFCC management and staff on grantmaking and other activities at federal, state, and international levels.
- Review and negotiate commercial contracts entered into by RFCC.
- Monitor compliance with a range of policies governing RFCC operations, particularly with respect to intellectual property, external communications, and conflicts of interest.
- Train RFCC staff on legal issues and internal policies.
- Review press releases and other media and communications for compliance.
- Assist with RFCC governance matters including preparing board and committee materials and minutes.
- Advise RFCC on legal matters relating to intellectual property and data privacy.
- Conduct legal research as needed.
- Provide other legal services as requested by the General Counsel.
- At least 12 years of experience working at a foundation or nonprofit organization in a legal capacity or representing tax-exempt organizations at a law firm.
- Juris Doctorate and admission to the New York State Bar required.
- Significant experience that demonstrates maturity, outstanding judgment, and discretion in handling highly confidential information.
- Expertise relating to legal issues for public charities and taxes and estates.
- Familiarity with government grants and contracts.
- A creative focus on how to achieve RFCC’s goals while minimizing legal risk.
- Strong project management skills and ability to corral stakeholders from across a global organization on cross-functional projects.
- Ability to interface with tact and diplomacy at all levels of the foundation and with outside individuals/firms.
- Excellent communications skills and interpersonal skills.
- Must have the ability to work in diverse teams with shared responsibility and accountability.

Position Overview
The Associate General Counsel, reporting to the General Counsel, provides legal representation to The Rockefeller Foundation’s public charity, RF Catalytic Capital (RFCC), on a wide range of matters, both programmatic and operational. The position involves contact with senior management and collaboration with program and operations staff in New York and the regional offices, grantees, funders, and other parties.
A charitable offshoot of The Rockefeller Foundation, RF Catalytic Capital (RFCC) enables foundations, impact investors, businesses, governments, and other funders to combine their resources to build funding solutions for social impact and bring about transformational change. RFCC extends the Foundation’s long tradition of using internal expertise and resources to marshal the capital from outside organizations and investors to improve the lives of vulnerable families around the world.
Pay Range : $197,300 - $253,550. This represents the present low and high end of the Foundation’s pay range for this position. Actual pay will vary based on various factors, including but not limited to experience.
Work Schedule: This role is on a hybrid work schedule, and required to be in the office on Tuesdays, Wednesdays, and Thursdays.Principal Duties and Responsibilities
