Job Description

- Manages board processes for Coaction’s company boards and committees including scheduling, preparation of agenda items, drafting of agenda notes and resolutions as necessary, attending board and committee meetings as necessary, and coordination of minutes preparation
- Directs annual shareholder meeting process and any other related processes
- Administers annual evaluations for the Board and its committees
- Facilitates annual review of committee charters and corresponding board documents to ensure alignment with state and/or federal regulations, each entity’s by-laws, and internal policies and procedures
- Communicates, tracks, and maintains quarterly board and committee requirements, action items and deliverables to the Board and Ex Co
- Responsible for ensuring accuracy in board-related documents and filings that are submitted to state regulatory agencies
- Responsible for entity management regarding all corporate documents, including but not limited to articles of incorporation, by-laws, and director and officer listings for all Companies
- Prepares quarterly and annual budgets and variances for the legal team
- Creates reports and develops other correspondence and communications
- Performs other tasks as assigned
- Paralegal Certificate or other training/equivalent experience
- Minimum eight (8) to ten (10) years of experience managing board and committee processes
- Strong organization, time management, and detail-oriented skills
- Proven ability to effectively communicate with senior leaders and board members
- Ability to uphold the highest standards of discretion and confidentiality and exercise good judgment on day-to-day decisions
- Insurance background required
- Sufficient organizational knowledge and familiarity with business laws and regulations
- Broad knowledge and experience in handling corporate and regulatory matters
- Excellent skills in managing multiple time-sensitive tasks
- Strong ability to independently develop, implement and complete projects
- Ability to manage and perform well under pressure

The purpose of this position is to provide oversight and organizational management, and to bring forth current industry best practices, to the corporate governance function to actively support a dynamic, growing business by managing the corporate secretarial function of the Coaction Companies including, but not limited to, overseeing corporate governance procedures for internal and external boards and committees, researching and analyzing issues raised in board developments, maintaining board records, and drafting resolutions with a focus on the structure of the state and/or federal regulations, industry related rules, practices and processes used to direct and manage the Coaction Companies.
