      ICAS World is a well-established global provider of employee assistance programmes (EAP) services, comprising mental health, coaching and other work-life assistance, to the employees and families of corporate and public bodies. We serve many known international organisations across their various international locations. In 2022, the ICAS World group was acquired by the San Francisco based health tech unicorn Lyra Health and is going through an exciting integration to together transform access to mental health care with the help of technology. The combined group has also recently grown its own direct local presence considerably in different parts of the world by adding several new establishments and subsidiaries to its corporate family tree.

      About the role
      ICAS World is looking for a Commercial Legal Counsel to join its corporate base in the UK to support the international sales and operations of the ICAS group. The ideal candidate is a generalist practical commercial lawyer with a passion for drafting and concluding contracts, and a keen interest in all the various aspects of commercial law in a truly international setting. The role is 100% remote and can be performed from anywhere in the UK, with only occasional pre-planned in-person meetings. This role is best suited for someone who is self-driven and works well autonomously with a communicative personality, proactively reaching out to others as relevant. The candidate would need to be flexible to accommodate time zone differences to connect with colleagues across the world. While the role sits with a small ICAS legal team, in the UK and South Africa reporting to ICAS Group Legal Manager, the candidate will be part of the larger Lyra Health legal department in the US.

      Responsibilities

      • Draft, review and negotiate a wide range of commercial contracts with corporate or institutional customers, as well as subcontractors, partners and providers.
      • Clarify contract language.
      • Provide legal assistance, with the help of local external legal counsel as required, to the local sales and operations teams across the world, taking into account the group’s wider considerations.
      • Work closely with the ICAS Compliance team, e.g., on personal data protection aspects in contracts.
      • Collaborate with colleagues at Lyra Health in bringing both groups’ services and activities together through aligned contractual documentation and processes.
      • Research and deliver practical advice on various commercial law matters which could include employment law, intellectual property law, regulation of mental health services etc.
      • Help review and draft contracts with employees and independent consultants.
      • Promote the use of the Legal department’s contract lifecycle management (CLM) system.
      • Help keep a contract repository as a key cross-functional resource.
      • Develop and maintain templates, as required. Depending on experience and interest, advise and support with corporate law and company secretarial matters, with the help of local external legal counsels as required, in relation to the numerous subsidiaries worldwide.
      • Assist with dispute resolution.

      Qualifications

      • Practicing solicitor in England and Wales. Legal qualifications and bar membership in other jurisdictions commonly featuring on the scene of international commerce such as the US, Singapore, or India, will be considered, but the candidate must be predominantly based in and have the right to work in the UK.
      • As for PQE (post-qualified experience), we are looking for someone who is experienced and confident enough to manage own workload while still eager to continue developing through hands on drafting and legal research work on matters both large and small.
      • Demonstrable strong contract drafting skills.
      • Practical experience with commercial law, including communicating legal advice to wider stakeholders.
      • Experience at a multinational tech or healthcare company would be beneficial.

      £50,000 - £60,000 a year
      The salary is in the range of £50,000 - 60,000, depending on experience and qualifications.
