- Handle compliance across geographies (India and US) and across for-profit / non-profit entities.
- Maintain a compliance calendar that covers MCA, RBI, FCRA, tax, labor compliances in India, and relevant state and federal compliances in the US.
- Coordinate with tax and regulatory advisors in India and US as well as with internal teams to ensure that all compliances are done on time.
- Liaise with board members, prepare agendas and papers for board meetings, committees, EGMs and annual general meetings (AGMs) and follow up on action points.
- Convene and service all company meetings, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
- Keep up to date with policies, regulatory, or statutory changes that might affect the organization.
- Maintain statutory books, including registers of members, directors, and secretaries.
- Draft, edit, review and advise on simple client and vendor contracts. Refer complex contracts to a legal counsel.
- Manage the legal contracting process within the organization - maintain a repository of templates, regulatory documents, signed contracts and similar documents.
- Company Secretary with 2+ years experience
- Candidates with a Bachelor’s degree in accountancy / finance / business management / law would be preferred
- Prior exposure to commercial contracts will be a strong positive
- Willingness and self-motivation to learn and stay updated about a constantly changing compliance environment
- Strong administrative skills and an aptitude for using compliance software
- Excellent communication skills, interpersonal skills with the ability to build relationships
- Discretion when handling confidential information
- Confidence to provide support to senior executives and board members
- Ability to work with client and vendor counterparts for commercial contracts

What is the role?
You will be responsible for ensuring compliance with statutory and regulatory requirements for all group entities in India and the US, which include for-profit and non-profit entities. You will be an individual contributor within the finance team. If you have a background in legal contracts, you will also take on the responsibility for managing day to day commercial contracts with clients and vendors. For each of these responsibilities, you will have access to experts (legal counsel, tax and regulatory advisors in India and the US) as and when needed.
