      Job Description

      SUMMARY: The Contract Manager will work with the Bank's procurement department and other business lines on drafting, reviewing, and negotiating commercial agreements and a variety of other transactions and instruments involving the Bank's interests to ensure compliance with contractual and regulatory requirements and promote maximum benefit and minimum risk exposure to the company and its stakeholders. Additionally, the Contract Manager will work cross-functionally with enterprise-wide stakeholders to drive comprehensive oversight of the contract lifecycle via the applicable business spend management software. The ideal candidate will be detail-oriented, skilled in contract law, and comfortable handling negotiations (ranging from preapproved, template language as well as bespoke contract drafting) with third-party suppliers on behalf of internal stakeholder. The Contract Manager will manage multiple contracts and deadlines in a fast-paced environment, leveraging their strong organizational, interpersonal, and communication skills.

      ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties and special projects may be assigned.
      • Negotiate and manage all contracts for the company in accordance with the Bank's policies, guidelines, standards and procedures as well as regulations of any governing agencies.
      • Proactively identify and analyze contractual issues in order to mitigate exposure.
      • Administer periodic reviews of contractual agreements to ensure fulfillment of obligations and service level standards.
      • Manage or assist with ongoing internal audits and regulatory examination of the contract management process.
      • Maintain appropriate levels of knowledge related to contract and vendor management industry trends through training, industry--related articles and trade magazines.
      • Fulfill contract lifecycle management (CLM) responsibilities, which include understanding the purpose for each purchase contract request, verifying all Coupa datapoints, facilitating DocuSign execution, and completing post-execution tasks.
      • Perform contract request initial assessment of order forms, statements of work, agreements (primarily master services, professional services, consulting, staffing, recruiter, lease, and license agreements), and a myriad of other purchase contracts.
      • Meet SLAs as set forth by the standard operating procedures.
      • Escalate to and collaborate with commercial attorney team members to initiate contract drafting, negotiation, and review.
      • Manage the e-signature process for contract execution.
      • Review and finalize purchase and other contracts in their entirety prior to execution
      • Complete Coupa workflow (including forthcoming contracts-related software workflow) for each contract request and ensure that all records are accurate and up to date.
      • Build productive and collaborative relationships with internal and external stakeholders as a trusted contracts subject matter expert.
      • Attend meetings to assess progress on projects which are in motion and collaborate with stakeholders.
      • Create regular status reports regarding progress on projects.
      • Analyze contracts to ensure compliance with state and federal laws and regulations.
      • Enhance Coupa functionality and continually improve process by working with the procurement team, external Coupa account managers, and the relevant Coupa software development stakeholders.
      • Draft, review, and negotiate contracts, agreements and other instruments related to commercial and strategic transactions involving the Bank and its subsidiaries.
      • Identify and mitigate contractual risks while balancing business objectives and operational needs.
      • Manage and oversee commercial and strategic transactions involving the Bank and its subsidiaries from initial discussion through execution of definitive documentation.
      • Provide advice and counsel (under the supervision of an attorney) to the procurement department and other business lines regarding commercial and strategic transactions and agreements involving the Bank and its subsidiaries and the management of the Bank's legal rights and obligations in relation thereto.
      • Draft, review, revise, update, and maintain certain policies and procedures of the Bank and its subsidiaries related to the governance and management of the Bank and its subsidiaries.
      • Assist the internal legal team in foreseeing and protecting the Bank from and against legal risks.
      • Assist the internal legal team on all corporate, legal and regulatory matters affecting the Bank and its subsidiaries, including, but not limited to: general contracts; third-party agreements; vendor-supplier relationships; management of external counsel; management of litigation and other disputes; industry-related compliance issues; and intellectual property matters.
      • Maintain expertise with industry-related legal, governance, compliance, and regulatory issues. Help ensure that all organizational activities are carried out in compliance with local, state and federal laws and regulations applicable to the business, operations or activities of BankUnited and its subsidiaries.
      • Participate in establishing policies and procedures that are consistent with policies and objectives established by BankUnited's board of directors and senior management.
      • Draft key documents, presenting clear recommendations and ensure legal and regulatory compliance.
      • Develop and improve contract templates, playbooks, negotiation guidelines, and CLM checklists to streamline process.
      • Keep informed on legislation, regulation, and other developments affecting the various operations and interests of the Bank and its subsidiaries.
      • Attend and actively contributing to various meetings
      • Adheres to and complies with applicable, federal and state laws, regulations and guidance, including those related to anti-money laundering (i.e. Bank Secrecy Act, US PATRIOT Act, etc.).
      • Adheres to Bank policies and procedures and completes required training.
      • Identifies and reports suspicious activity.
      EDUCATION

      Bachelor's Degree preferably in Legal Studies, Business, Political Science, English, or other technical degrees required

      EXPERIENCE
      • 4-6 Years preferably in a corporate or in-house legal/contract-related role required
      CERTIFICATES, LICENSES, REGISTRATIONS
      • Professional industry specific certification preferred
      • * Juris Doctor, Paralegal NALA Certification, CCCM/CPCM, or simliar degree and/or industry certifications preferred
      KNOWLEDGE, SKILLS AND ABILITIES
      • Excellent negotiations and drafting skills and experience negotiating contracts in a variety of disciplines.
      • Strong interpersonal skills and experience in interacting with all levels of internal personnel as well as with legal counsel and outside contractors/vendors.
      • Excellent problem-solving skills particularly as relates to contract-related problems.
      • Excellent verbal and written skills with a high degree of legal experience.
      • Excellent analytical skills.
