      Summary

      Position Highlights

      This position will be a legal advisor and counsel to Moffitt management and staff regarding business transactions and contracting, including technology contracts, consulting agreements, health care contracting, procurement and related regulatory compliance. The Assistant General Counsel I will be responsible for, but not limited, to the following:

      * Draft, present, negotiate and finalize contracts and agreements for various departments.

      * Directly support members of management to ensure that all vendors used by each department have an appropriately reviewed and executed agreement on file.

      * Assist to protect Moffitt's legal interest and maintain its contracting operations in compliance with applicable law.

      * Where appropriate, Develop and monitor use of template contracts and other agreements

      * Provide hands-on legal counsel to all levels of management.

      * Identify and analyze legal issues, draft key documents, present clear recommendation and assure legal compliance.

      * Keep current on new and emerging laws and policy developments impacting Moffitt's operations.

      * Draft institutional policies in accordance with best practices and within the bounds of applicable laws and regulations.

      * Direct and participate in the research of state and federal legislation and administrative and court decisions; investigate legal problems and make recommendations.

      * Provide other legal support as directed or as circumstances may require supporting management and protecting Moffitt's legal interests.

      * Supervise and manage the legal work of in-house paralegals, attorneys as well as outside counsel in support of the OGC's legal and administrative functions.

      * Coordinate and assist in leading the management and staff to support the centralization of the institution’s contracting processes and aid in the central storing of these agreements in the contract management system under development.

      * Educate management on the processes of effectively using the contract management system and help each department transition to the new system when implemented.

      * Supervise and manage the work of one or more paralegals, contract technicians, and attorneys and outside counsel supporting contracting functions.

      The Ideal Candidate

      • Excellent interpersonal, negotiating and contract drafting skills including healthcare and life sciences contracting, technology contracts, consulting agreements, procurement and related regulatory compliance .
      • Experience leading complex transactions with healthcare and biotechnology industry partners (both startups and large corporations) as well as other academic medical centers that include highly negotiated business and legal terms essential to achieving Moffitt’s strategic goals, including finance, use of facilities, technology transfer, and protection of intellectual property.
      • Business acumen, c uriosity, adaptability, and solution-oriented approach to problem solving
      • Excellent communication skills - written, verbal, and utilizing technology
      • Strong working knowledge of regulatory and compliance issues that arise in business transaction supporting a healthcare enterprise, such as protection of intellectual property, Stark, Anti-Kickback, HIPAA/HITECH, and other data privacy statutes
      • Reliable attention to detail, strong work ethic, and ability to maintain confidentiality
      • Board certification in a relevant area of law is encouraged

      Responsibilities:

      • Prepare, review and negotiate contracts and other business transactions.
      • Provide legal advice and identify risks and benefits on business transactions and contracting, including related regulatory compliance.
      • Identify and analyze legal issues, drafting key documents, presenting clear recommendation and assuring legal compliance.
      • Support contract management efforts of the VP/Deputy General Counsel and EVP/General Counsel.
      • Initiate routine meetings with departmental leaders to provide legal advice, recommend updates to practices and procedures, to effectuate contract negotiation and related regulatory compliance.
      • Research and special projects assigned by the VP/Deputy General Counsel and EVP/General Counsel.

      Credentials and Experience:

      • Juris Doctor required. This individual must be authorized to practice law in the State of Florida and have at least eight (8) years' experience practicing law.

      Must possess State Bar certification; however does not necessarily have to be a Florida Bar Board Certificate.

      • Excellent negotiating, interpersonal, business, contract drafting, and writing skills are required with a minimum of six (6) years of related contracting and transactional experience.
      • Bachelor's degree in a relevant field is a plus.
      • Candidate should be able to display excellent organization, problem-solving and computer skills.
      • Candidate should possess excellent research, written and verbal communications skills.
      • Needs to have positive attitude at all times, robust attention to detail, strong work ethic and ability to maintain confidentiality.
      • Significant experience supervising and managing paralegals and support staff for maximum efficiency is preferred.
