- DTCC offers a flexible/hybrid model of 3 days onsite and 2 days remote (onsite Tuesdays, Wednesdays and a third day unique to each team or employee).
- Partner with Strategic Sourcing and Procurement to select the appropriate Contract Template or Standard Clause(s) for proposed agreements.
- Conduct redline review of proposed agreements of low to moderate complexity, including the drafting of non-standard commercial and legal terms.
- Participate in negotiations with Suppliers regarding proposed agreements.
- Liaise with TPR, Control Group(s), and Subject Matter Experts, as necessary.
- Ensure clear and prompt communication with Business Unit, Strategic Sourcing, Legal, and Control Group(s), as necessary.
- Keep current with law, regulations, and regulatory guidance as needed to integrate appropriate terms into proposed agreements and provide upkeep to Contract Templates and Standard Clauses.
- Consult on post-contract issues, as necessary.
- Research and analyze existing third party agreements to determine content and assess proper integration of prior documents into new documents.
- Perform other duties as assigned.
- Aligns risk and control processes into day to day responsibilities to monitor and mitigate risk; brings up appropriately
- Minimum of 4 years of related experience
- Bachelor's degree preferred or equivalent experience
- Certification in paralegal studies required; or developed paralegal experience.
- Demonstrate a thorough level of capabilities and proven track record of success working with Sourcing principals and methodologies, preferably for a global financial services firm. Highly specialized knowledge of principles, practices, and procedures of contract drafting and negotiation, and the liabilities and risks associated with the acquisition of goods, services, and technology. In-depth knowledge of the risk and regulatory environment to analyze impact of medium to high complexity sourcing projects. Thorough understanding of the Firm structure, standards, and business objectives.
- Provide succinct and clear communication, both written and verbal, to a wide variety of audience, including writing clear and unambiguous contract terms. Must have the ability to develop and maintain strong collaborator relationships. Ability to conceptually think of new projects and lead project teams towards a common objective. Ability to work independently with minimal or no supervision. Ability to influence with limited or no authority. Ability to train others on moderate to highly complex policies, practices, and processes. Apply software to analyze data and summarize information, such as Microsoft Word, Excel, PowerPoint, and other Firm-issued tools.

Being a member of the Strategic Sourcing Team, the Contracts Paralegal will be responsible for the initial legal review, and ultimate negotiation, of proposed agreements for the purchase of goods and/or services in collaboration with the Business Unit, Strategic Sourcing, Procurement, Legal, and Control Group(s) as necessary.
