      Description

      This is an exceptional opportunity for an existing in-house securities/corporate counsel ready to take a step to the next level or the associate attorney interested in transitioning to an in-house counsel role for Ashford Inc. In this role, you will have an opportunity to join an established, stable and supportive legal team and enjoy the collaboration and camaraderie of a close knit group. The right candidate for this role will have experience in '34 Act periodic reporting for public companies, registered and private securities offerings under the '33 Act, public company corporate governance, NYSE listing standards, proxy statements, mergers and acquisitions and general corporate law. The work you do as our Corporate & Securities Counsel will be critical to our continued growth and regulatory compliance. This position supports three public companies, including two REITS that together own over 100 hotels.

      Essential Functions:
      • Provide substantive legal counsel as assigned
      • Assist with the development of compliance policies and procedures
      • Compliance - Review and advise concerning compliance with applicable federal, state, and local laws
      • Assist with preparation of '33 and '34 Act securities filings
      • Assist with preparation of materials and communications with the three Boards of Directors of the public companies
      • Provide advice and counsel to help the business stay up-to-date and comply with regulatory and compliance requirements, including SEC/NYSE and other agencies
      • Review contracts to identify legal issues, and/or draft contracts, for various Company representatives; negotiate agreements with opposing legal counsel
      • Provide guidance on a variety of day-to-day matters
      • Assist with capital raises and general M & A transactions

      Qualifications

      • J.D. from an ABA-accredited law school and member in good standing of at least one state bar
      • Minimum of six (6) years transactional legal experience in a well-regarded law firm or comparable corporate environment
      • Proven contract drafting and negotiating skills
      • Ability to expeditiously identify and analyze issues and provide legally sound recommendations consistent with good business and governance practices
      • Strong interpersonal skills, and ability to interact effectively and work diplomatically with individuals at all levels; Ability to foster relationships and individual accountability across the organization
      • Excellent interpersonal, written and oral communication skills
      • Excellent conflict management skills, and ability to influence
      • Ability to identify opportunities for improvement and to facilitate the implementation of creative solutions
      • Ability to work independently, take ownership of and effectively resolve problems
      • Working knowledge of the hospitality industry preferred
