      Description

      The Corporate Paralegal for HITRUST plays a crucial role in supporting legal operations within the company. This position will work closely with the HITRUST General Counsel and assist in various aspects of corporate law. While they do not practice law themselves, they contribute significantly to corporate transactions and legal processes.


      As a Corporate Paralegal, your responsibilities will include:


      1. Legal Support:

      • Assisting the legal department with corporate law matters, including legal entity management, annual filings, and other legal transactions.
      • Implementing changes to contracts to ensure compliance with legal requirements.
      • Assisting sales operations in completing agreements with customers.
      • Assisting procurement and vendor management of products and services procured by the company.

      2. Document Management:

      • Drafting and managing various business entity documents (e.g., articles of incorporation, dissolution, stock certificates, merger agreements).
      • Creating and distributing annual reports.
      • Handling paperwork needed by regulatory bodies.

      3. Communication and Coordination:

      • Attending corporate meetings and preparing corporate resolutions.
      • Drafting legal contracts, correspondence, and other relevant documents.
      • Collaborating with internal teams and external stakeholders.

      To excel as a Corporate Paralegal, you should possess the following skills:

      • Proficiency in using virtual data rooms to upload and organize documents.
      • Excellent written and verbal communication skills.
      • Superb attention to detail, organizational abilities, and multitasking skills.
      • Familiarity with Microsoft Office Suite and document management systems such as Concord, PandaDoc or others.

      Education and Experience

      • High school diploma or GED (minimum requirement).
      • Bachelor’s degree (preferred).
      • Paralegal certification is a plus.
