      Introduction

      Cboe Clear Europe N.V. (Cboe Clear) is a central counterparty providing post-trade clearing services to stock exchanges, multilateral trading facilities (MTFs) and other trading platforms. Cboe Clear is part of the global exchange group Cboe Global Markets Inc. (CBOE). With offices in Amsterdam (HQ) and London, Cboe Clear services over 45 stock exchanges and trading venues and clears equity securities from 18 European markets as well as equity derivatives. The company was formed in 2013 and has just under 100 employees.       To help us maintain and grow our business our Legal and Compliance Department in Amsterdam is looking for a

      Legal Counsel

      The Legal and Compliance Department is responsible for advising the organisation on all legal matters relevant to it and for monitoring compliance with EMIR and other EU-wide legislation. It also ensures that effective processes are in place to establish, update, monitor and report on the compliance of company policies by business functions and by individual employees. The Legal Counsel reports to the Head of Legal and Compliance.

      Job specific competencies

      Knowledge

      To be able to advise the organisation on all legal matters relevant to it; formulate policies and procedures that comply with EU and Dutch regulations; advise managers on appropriate monitoring tools and evidence of compliance, in relation to the following areas:

      • Securities law and market infrastructure regulations that directly apply to central counterparties, mainly EMIR, Wft, Financial Collateral Directive and Settlement Finality Directive
      • Regulations and policy initiatives that will affect the business environment or central counterparties directly or indirectly, e.g. CSD Regulation, DORA, GDPR
      • Regulations and policy initiatives that will affect platforms and clearing participants, mainly MiFiD II, MiFiR, Financial Transaction Tax and CRD IV capital requirements
      • Contract law, property law affecting collateral management and bankruptcy law
      • Dutch company law and corporate governance code

      Qualifications

      To be an effective advisor on legal and compliance matters to management:

      • 3 - 5 years of experience as a qualified lawyer in an international law firm or company in the financial sector
      • Have an interest in financial markets; having worked for or having advised a securities post-trade business or market infrastructure is an asset
      • Excellent contract drafting skills, experience with managing projects from a legal perspective and affinity with policies, procedures and compliance plans
      • Experienced with financial markets and regulated services
      • Familiar with financial sector regulatory policies such as anti-money laundering and know-your-customer programs and sanctions screening
      • Experienced in managing outside counsel and legal costs
      • Excellent knowledge of English and Dutch
