      Role Title: Director – US Treasury Capital Markets Counsel, Group Corporate and Treasury Legal

      Location: London, UK

      What will you be doing:

      · Lead legal adviser within Group Corporate & Treasury Legal (GCTL) on US securities law and related matters supporting Treasury, Finance, Investor Relations and Corporate Secretariat.

      · Supporting Barclays Group Treasury regarding global capital and regulatory capital issuance and liquidity management activity undertaken through legal entities including Barclays PLC, Barclays Bank PLC, Barclays Capital Inc., and Barclays Bank Delaware.

      · Management of SEC-registered and Reg S securities issuance platforms through deployment of technical and industry experience, including monitoring and contributing to setting standard policies for corporate authorisations, closed periods and disclosure obligations.

      · Providing technical US securities law and disclosure related expertise across a range of Treasury and other Head Office projects, including quarterly financial reporting & other comms to market, interaction with regulators (including PRA and SEC), facilitation and support to Barclays Investor Relations (primarily relating to debt issuance reporting and communications).

      · Providing legal advisory support and direction to US market-facing activities of Treasury.

      Key Accountabilities

      · Take a leading role within the GCTL Team, working for and with the Head of GCTL and Head of Treasury Legal, BCI General Counsel and Head of Bank Reg, Treasury & M&A Legal and acting as US Legal Business Partner to Barclays Treasury in relation to:

      o assuming primary responsibility for US securities legal advisory matters and US laws, rules and regulations applicable to Barclays’ Treasury issuance and oversight;

      o managing the end-to-end legal processes for programmatic and stand-alone issuance of capital and other funding, including: maintenance of standard corporate disclosure; review of legal documentation; management of legal due diligence;

      o maintaining issuance programmes as current and fit for purpose to enable efficient access to market and swift execution of Treasury transactions;

      o advising on periodic disclosure requirements applicable to the Barclays Group in the US;

      o participation in bespoke projects, expected to include additional disclosure and securities issuance related work-streams, including ESG matters and subject matter expert advice on regulatory capital matters;

      o work alongside Barclays Treasury to pro-actively manage legal spend in connection with execution activity, maintaining a focus on ensuring a high quality service is delivered with the commercials of the organisation in mind;

      o in all cases manage provision of external legal support where required.

      What we’re looking for:

      · US qualified lawyer with deep knowledge and experience of US securities offerings and regulation and debt and equity capital markets disclosure obligations gained either in private practice or in-house.

      · Deep knowledge of the Securities Exchange Act of 1934 and Securities Act of 1933 and related regulations and forms, Investment Company Act of 1940, Investment Advisers Act of 1940 and Energy Policy and Conservation Act of 1975, Public Company Accounting Reform and Corporate Responsibility (Sarbanes-Oxley Act), New York Stock Exchange rules.

      · Comfortable with and used to working to tight deadlines.

      · Execution-focused mind-set.

      · Motivated by tackling new technical areas of law without prior experience.

      · Strong commercial focus with an aptitude for problem solving.

      · Confidence in advising on key risk issues and mitigants and helping Barclays Treasury to make decisions.

      Skills that will help you in your role :

      · Advising foreign private issuers on disclosure obligations both in connection with registered and exempt securities offerings and on a periodic basis, management of US issuance programmes, preparation and management of risk factors

      · The role includes unsecured (subordinated and senior) bank capital and funding transactions and liability management; additional experience in bank finance in general, including equity issuance, securitisations or other risk transfer or structured finance transactions an advantage.

      · Prioritises and manages workload effectively.

      · Takes ownership and sees matters to completion.

      · Is a team player, collegiate and supportive of colleagues.

      · Shares knowledge proactively.

      · Supports key stakeholder’s goals and objectives. In particular, supports Barclays Treasury in its long term strategic agenda by providing pragmatic legal advice to effectively manage legal risk.
