- Advice and Counsel
- Provide legal advice and counsel regarding health care and general corporate legal issues affecting all areas of USACS operations including employment, physician relationships, hospital and health system contracting, managed care arrangements, corporate law and governance, patient care and Medicare and Medicaid.
- Manage the company’s equity program.
- Provide capital markets legal support.
- Corporate Transactions
- Assist in corporate transactions, including strategy development, negotiation and drafting of necessary documents.
- Regulatory Matters:
- Review, analyze and counsel regarding federal and state legislation (and governmental and judicial interpretations thereof) relevant to health care providers, including, but not limited to, No Suprises Act, Fraud and Abuse, Stark, Anti-Kickback and Civil Monetary Penalty compliance, Medicare and Medicaid Conditions of Participation.
- Conducting legal research and staying up to date with changes in laws and regulations that may affect the company.
- Developing and implementing policies and procedures to minimize legal risks for the organization.
- Lead the company’s audit and compliance committee.
- Contract Drafting, Review, and Negotiation
- Review and draft a wide variety of contracts and other documents relating to all areas of the USACS operations.
- Litigation/Risk Management
- Overseeing and managing all aspects of litigation, including working with external counsel.
- Overseeing and managing risk department related to professional liability, including the company’s captive professional liability insurer.
- Adept at breaking complex or sprawling legal questions into discrete components and distinguishing between high- and low-priority issues.
- Effectiveness in translating legal rules and regulations into clear, practical, and actionable processes and advice that business teams can understand and implement.
- Effective verbal and written communication skills
- Ability to navigate through ambiguity, manage and coordinate work in a fast-paced, deadline-driven environment, accepting ownership and accountability of the process and delivering on commitments.
- Experience with projects or programs involving legal, regulatory and reputation risk.

- Juris Doctor degree from an accredited law school
- 15+ years of relevant legal experience
- Member in good standing of at least one state bar
- Working understanding of health care industry and legal and commercial issues impacting companies operating in the health care industry.
- While performing the duties of this job, the employee is regularly required to sit for prolonged periods and occasionally walk, stand, bend, stoop, and lift to 15 pounds.
- Required to have close visual acuity to perform job.

Job Description
The General Counsel will serve as a fully engaged member of the senior management team in the resolution of a wide range of legal and general management issues. This position will counsel on issues of major importance to the company including the development of short and long-range strategic goals and objectives of USACS that help to ensure achievement of its mission and vision. The General Counsel will develop, direct and manage all legal matters impacting USACS including, but not limited to, corporate governance, regulatory and contractual compliance, distributed equity ownership, partnerships, acquisitions, joint ventures and affiliations, and healthcare operations. The General Counsel will exercise hands-on management responsibility over all USACS legal affairs and provide counsel to USACS’s business and clinical leadership. Experience with physician services, fraud and abuse, Medicare, Medicaid and HIPAA, medical malpractice and general corporate law are desired but not required. This position can be virtual. The General Counsel will report to the CEO and lead a team of lawyers.Location: Remote
