- Serving as primary support for the commercial team in negotiation and finalization of customer agreements.
- Serving as primary support for the procurement and supply chain team in preparation of RFPs/RFQs and negotiation and finalization of vendor/supplier agreements.
- Acting as a trusted, strategic advisor to the business teams on legal issues and legal impact of business issues
- Assist with post-contract management issues, including contract interpretation, amendments, clarifications, renewals, data aggregator requests and dispute resolution.
- Support for deployment of the contracts management policies, procedures and systems, including updating of standard templates in compliance with new laws and regulations and changes in internal policy and procedures.
- Develop, maintain and conduct best practice legal training, as requested, to internal stakeholders on contract excellence and Orica’s policies and procedures.
- Develop and maintain strong working relationship with internal stakeholders throughout North American Region and globally on serving as a member of the Legal Ethics and Compliance Group.
- Monitor key laws and emerging legislation affecting the business; inform relevant personnel of legal developments that affect their respective areas of responsibility; suggest preventive procedures to minimize exposure to legal risks and liabilities.
- Support development and maintenance of effective compliance with appropriate corporate governance policies and standards, including Orica’s Code of Conduct and Corporate Compliance Group Standard (dealing with anti-bribery and corruption, competition law compliance, trade sanction compliance and anti-money laundering).
- Ensure Orica complies with the laws and regulations of the applicable jurisdictions in which it does business and operates in conformity with Orica's group policies, standards and procedures.
- Routinely exercise independent judgment in developing methods, techniques and criteria for achieving objectives.
- Support Legal’s commitment to continuous improvement by identifying and leading solutions with Legal and internal clients to improve quality.
- In conjunction with North American General Counsel, assistance in development of strategy for, and management of, litigation and dispute resolution processes.
- In conjunction with North American General Counsel, assist in management of legal aspects of acquisitions, divestments, joint ventures and major customer contracts as required.
- In conjunction with North American General Counsel, management of provision of legal services by internal and external legal counsel.
- Minimum 5 years relevant experience post professional qualification (from a combination of law firm and/or in-house counsel experience), including extensive exposure to complex commercial contracts.
- JD from an ABA-accredited law school with high academic credentials.
- Must be licensed and in good standing to practice law in the State of Colorado.
- Significant experience in drafting and negotiating commercial contracts.
- Superior written and verbal communication skills and attention to detail.
- Customer service and results oriented.
- Significant experience operating effectively as a team member within corporate legal department.
- Strong business intellect with practical, independent judgment and initiative.
- The willingness and ability to solve challenges; ability to work with minimal direction and supervision; proactive not reactive while remaining team-focused, self-aware and open to feedback with a growth mindset.
- Ability to understand and adapt to needs of various cultures in working with stakeholders and counterparties on cross-border projects and initiatives.

- Experience in implementing process improvement initiatives would be desirable.

About The Role – Legal Counsel
Orica is excited to grow our North America legal team by adding a Legal Counsel position to our team. This role provides legal advice to Orica's businesses in the North America Region, to enable achievement of business strategies and objectives in accordance with applicable laws and Orica policies and procedures.
Location - Centennial, CO, USA
Travel Requirements - May require limited domestic and/or international travel

This is a hybrid role, which will require you to report to the Centennial, CO office at least three days a week.

Compensation Range
• $117,163 - $160,000
• Eligible for annual short-term incentive plan
