      Legal Counsel or Senior Legal Counsel, Legal Services

      Corporate Finance

      Join the experienced and dynamic team responsible for developing law, policy and guidance for corporate finance market participants, and analyzing and providing recommendations on applications for exemptions from securities legislation. Working closely with other corporate finance professionals, you will represent the Commission on national and local committees and will provide advice or information to staff, Commissioners and the public about policy and legal issues.

      Key Responsibilities:

      Working alongside a collaborative team of experienced lawyers, the Legal Counsel/Senior Legal Counsel will play an active role in:

      • developing a wide range of local and national rules, policies and other regulatory instruments for the capital markets in British Columbia and Canada
      • reviewing complex applications by conventional issuers and investment funds for exemptive relief from securities law requirements
      • making oral and written recommendations in respect of such applications and drafting applicable decision documents
      • providing legal input into the review of take-over bid circulars, proxy circulars and other disclosure documents
      • conducting research on complex issues and contributing to developing policy initiatives
      • providing advice to other Commission staff and Commissioners about policy and legal issues

      Qualifications:

      • membership in the Law Society of BC or are eligible for BC call
      • experience working with the securities regulatory regime as it applies to public companies and companies raising capital in the exempt market
      • experience in corporate finance including experience with prospectuses, distributions in reliance on prospectus exemptions and continuous disclosure obligations
      • experience in one or more of shareholder meeting mechanics, insider reporting requirements, investment funds and structured products and corporate governance would be an asset
      • strong strategic and analytical thinker with excellent oral and written communication skills (including familiarity with writing in plain language)
      • can work independently and as part of a group where, depending on your experience, you have the potential to lead
      • able to work on a team, be able to balance regulatory objectives with practical business considerations
      • sound judgment and practical computer skills

      Salary Range:

      The salary range for Legal Counsel (generally up to 10 years of legal counsel experience) is $113,444 (minimum) - $151,014 (midpoint) - $188,585 (maximum).

      The salary range for Senior Legal Counsel (generally 10+ years of legal counsel experience) is $135,479 (minimum) - $175,947 (midpoint) - $216,414 (maximum).

      The starting salary for this position will be determined considering the successful candidate’s relevant experience and education, salaries of other employees in the same salary range, market conditions and other relevant factors. Starting salaries are normally below the salary band midpoint.
