      Job Title

      Legal Counsel - Transactional

      As a Lawyer you are responsible for provision of legal advice and support to Outpayce, a fully owned subsidiary of Amadeus.

      In this role you’ll / Your main responsibilities

      Legal advice and contract negotiation

      • Legal support and negotiation on Payment agreements with suppliers (including PSPs, AMOPs, and Card Schemes) consulting with key stakeholders within Amadeus as necessary (e.g. DPU lawyers, Business Development, product management team).
      • Assisting Airline Solutions, Hospitality and Distribution lawyers and contract managers (as required) in relation to drafting and negotiation of payment agreements.
      • Supporting ongoing assessment of Outpayce becoming a regulated entity, including novation of existing supplier contracts as needed and assisting with inter-group arrangements and roll out of activities required for regulatory compliance.
      • Keeping abreast of developments and changes in law, practice and regulatory framework affecting the payments sector.
      • Participation in negotiations, where necessary in person.
      • Instructing external counsel where necessary and managing related cost and provision of advice.
      • Supporting document production and working with Amadeus/Outpayce business units to understand its requirements and help with prioritization.
      • Act proactively to identify risk issues within Amadeus/Outpayce and escalate as required.
      • Working with senior manager who would be providing on-the-job training, supervision and mentoring if required.

      New products and Synergies

      • Exploring, understanding and advising on the development of new synergies further to new acquisitions
      • Actively collaborate and advise on the design and conception of new business models and products and solutions.
      • Document and develop the necessary supporting documents, templates, analysis, etc. as needed.

      Templates and processes:

      • Preparation and maintenance of template documents.
      • Establish and monitor internal and external procedures relating to payments contracts.
      • Assistance in maintaining documentation on databases etc.

      PCI DSS compliance program:

      • Point of contact in payments legal for Director of PCI-DSS compliance program.
      • Maintaining contract documentation and guidelines up-to-date with legal developments, industry best practices, and Amadeus/Outpayce policies (coordinating as necessary with internal stakeholders as appropriate)
      • Advising and escalating to management strategic standard positions in Amadeus/Outpayce template documentation.
      • Developing know-how tools and templates and procedures to support risk management.

      Training and know-how:

      • Provide support and training to business and legal teams on payment matters, contracts, regulations as necessary.
      • Coordination and liaison with stakeholders on legal matters relating to the Amadeus/Outpayce business unit.
      • Updating know how sharing documentation.
      • Capturing and sharing lessons learned (e.g. workshops, with or without external counsel, reference materials, regular calls).
      • Considering and where possible improving external counsel’s support of internal training and know-how (articles, recommendations of resources and seminars etc).
      • Liaison with legal knowledge center on capture of training sessions and know-how material and sharing with other legal team members.
      • Provide support on tracking and follow-up of work managed by other legal teams.

      About the ideal candidate

      • University Degree in Law, master’s degree in law (preferred).
      • From 2 to 5 years relevant work experience in big law, ideally in corporate and/or M&A department (other departments are welcomed too).

      Skills:

      • Contracts mastery. Commercial mindset.
      • Legal English, good drafting skills, negotiation skills. Works well under pressure.
