- Leading the end-to-end accounting and finance integration process both strategically and tactically, as the primary point of contact for all accounting and finance outcomes tracks.
- Support diligence and pre-close activities, such as documentation, accounting and finance operations analysis, systems analysis, client data analysis, etc.
- Actively participate and own/be the expert in the quality of earnings for each target company. This will include active involvement in the review sessions conducted by third-party partners.
- Identify and document risks associated with each acquisition – both identified pre- and post-acquisition, and work with appropriate parties to minimize any impact.
- Creating an accounting and finance integration plan for each transaction by organizing pre-integration diligence, closing and Day 1 activities, and executing the post-close integration plan.
- Managing post-close activities such as obtaining proper financial documentation for controllership, operational execution, billing, budgeting and forecasting, and related KPI’s.
- Leading the client and matter data conversion by working with internal and target stakeholders to map and convert target data and data structures to MGT standard to enable post-transaction reporting. This includes mapping the target’s general ledger accounts to MGT’s general ledger account structure. This may also include the conversion of client WIP / AR balances.
- Calculate net working capital, purchase allocation, opening balance sheet and other acquisition related items.
- Creating and executing accounting communication strategy, including project planning cadence, status updates, and adapting the integration plan as necessary.
- Lead workflows around working capital, clients, vendors, bank accounts, credit cards, letters of credit and other transactional or treasury items.
- Lead accounting and finance workstream meetings, collaborate with stakeholders on making key decisions, and understanding and managing accounting handoffs and dependencies.
- Managing multiple integrations concurrently while also assisting in building out the accounting and finance integration toolset (e.g., playbooks, process flows, work plans).
- Proactively identify integration areas for improvement and take these opportunities to collaborate in designing solutions and updating existing toolsets and processes.
- Manage timing of earnouts calculations for each acquisition entity, including ensuring they are in compliance with each purchase agreement.
- Track and manage any funds held in escrow to ensure compliance with each purchase agreement.
- Other activities as assigned.
- Bachelor’s degree in accounting, finance, economics, or related field.
- Five (5) or more years' experience in pre- and post-merger integrations.
- Experience documenting, communicating, and responding quickly to inquiries and challenges.
- Experience working with quality of earnings, net working capital, purchase price allocation, and recording opening balance sheet preferred.
- Proven leadership skills including experience working with a high degree of ambiguity.
- Demonstrated experience operating in an unstructured and collaborative environment.
- Experience collaborating with stakeholders and across teams to align shared vision, departments, as well as titles (from admins to senior executives).
- Experience analyzing and compiling large data sets tied to various processes throughout a deal lifecycle.
- CPA preferred.
- Master’s degree or MBA preferred.

WHAT YOU’LL DO:
MGT is looking to hire an M&A Integrations Director to assist the Office of the CFO in integrating newly acquired companies. The Manager will support the deal life cycle from early-stage integration planning through post-close execution. We are seeking an energetic, self-motivated, and solution-focused individual that can collaborate effectively with stakeholders at all levels. This individual will be responsible for planning and supporting finance and accounting integration activities, partnering across the entire organization, as well as communicating with leaders at target companies. The ability to plan, execute effectively, and pivot along the way will be critical to achieving success in this role. Equally important will be the ability to motivate and influence without overt authority, while building relationships among the integration stakeholders as you collaborate towards achieving a common goal.
