- Partners with Finance, Development and Operations to fully vet proposed transfers between franchisees, ensure transfer requirements and brand standards are met at the entity and deal level;
- First point of contact with franchisees/franchisee counsel to resolve issues, elevating to attorney at the appropriate time
- Independently analyzes franchisee transactional documents, such as ownership records, Letters of Credit, Trust Agreements, Asset Purchase Agreements, formation documents, etc.;
- Negotiates routine revisions with franchisees and their counsel in accordance with KFC’s policies, procedures and guidelines;
- Drafts straightforward agreement modifications with minimal supervision, elevating to attorney when necessary
- Coordinates review, analysis and drafting with outside counsel when needed
- Drafts/administers agreements with related contract packages ensuring:
- past due contract obligations are resolved with the appropriate functional team
- accuracy of all contract information
- adherence to shifting deadlines and priorities
- franchisee and KFC obligations are properly captured
- Brand policies are accurately applied (elevating to attorney where appropriate)
- corresponding franchise fees are correctly calculated for invoicing.
- Prepare franchise contract packages for restaurant divestitures; provide additional support to restaurant M&A process as requested by attorney
- Drafts and negotiates standard, simple agreements (Non-Disclosure Agreements, Letters of Credit) with third parties with minimal supervision, elevating to internal or outside attorneys as needed
- Prepares and distributes necessary reports, memos and correspondence to internal and external parties in an accurate and timely manner.

- Timely creates, maintains, and files electronic records pertaining to franchisees, restaurants, relationships, obligations and agreement data with accuracy and urgency.
- Conducts legal research and analyzes legal issues as needed to complete projects and reports, answer questions and resolve discrepancies related to the franchise agreement.
- Advises client groups on current processes, Brand standards, incentives, agreement provisions, and compliance with same;
- Proactively identifies and suggests ideas for continuous improvement to cross-functional franchising processes.
- Provides peer-to-peer instruction and guidance to other paralegals, improving their understanding of operating systems, contractual provisions, administration procedures, and client/franchisee interaction.
- Education/Certifications – Associates Degree with focus on paralegal studies and/or Paralegal Certificate preferred
- Experience & Skills
- 2+ years of experience as a paralegal in a large law firm or fast-paced corporate environment required (corporate and contract experience a plus).
- Experience with electronic signature programs (e.g., DocuSign), Excel mail merge, Smartsheet, and other data analysis tools preferred.
- Understanding of commercial contracts, corporate entity formation and real estate a plus).
- Ability to work independently and as part of a collaborative, high functioning team.
- Successfully prioritize and multi-task in a fast-paced environment to meet deadlines and complete projects with accuracy and urgency.
COMPENSATION: $68,300 - $80,400 annually + bonus eligibility (if applicable). This is the expected salary range for this position. Ultimately, in determining pay, we'll consider the successful candidate’s location, experience, and other job-related factors.
PURPOSE OF THE JOB: The Paralegal manages all legal aspects of the transfer pipeline and is the main point of contact for cross-functional partners regarding legal issues related to the same, ensuring corporate transactions are properly analyzed and resolving any issues.
