- Draft, manage and facilitate legal/transactional documents and agreements for attorney review and approval by identifying forms and formats, producing text and proofreading.
- Review, research and/or oversee the formation and maintenance of legal entities, including all necessary annual and regular corporate filings and business licensing.
- Manage files and documents, includes coordinating with executives, operations partner, field personnel, dental practice owners, compiling supporting documentation/records, tracking and expediting transaction completion.
- Propose process improvements by conducting analysis and evaluating effectiveness of reports and databases.
- Perform on-line research and conduct electronic filings on legal and business-related matters.
- Act as a liaison with the organization's management, other internal clients and outside counsel.
- Other duties as assigned by Sr. Corporate Counsel, attorneys, and managemen
- Bachelor's Degree from an accredited college in the related field, paralegal certificate from an ABA accredited program. In lieu of degree, 5+ years of experience is required or the equivalent combination of education and experience.
- Experience in drafting corporate legal instruments, filing documents with state and federal agencies, and handling licensing and maintenance of entities.
- Basic understanding of or familiarity with corporate entities and partnership terminology and structure.
- Ability and willingness to work in-person in Irvine, CA.
- Familiarity with Salesforce, Box, DocuSign e-Signature, DocuSign CLM (or other similar solution) and/or Workshare Professiona
- Strong data/internet research and written and verbal communication skills.
- High energy and enthusiasm; ability to take initiative and make suggestions or volunteer ideas for improving overall department or individual productivity.
- Problem solving skills to gather and analyze information in order to identify and resolve problems in a timely manner.
- Planning/organizing of effective prioritization skills and uses time efficiently to develops realistic action plans.
- Ability to multi-task effectively without compromising the quality of the work.
- Detail oriented, organized, process-focused, problem solver, proactive, ambitious, customer service-focused.
- Ability to draw conclusions and make independent decisions with limited information.
- Ability to respond to common inquiries from field personnel, internal staff, regulatory agencies, vendors, and other members of the business community.

Under general direction from Sr. Paralegal, the Paralegal II will work closely with attorneys, healthcare professionals, operations leaders and administrative support staff to provide legal, administrative and related support integral to the organization's operations. The individual will serve as a subject matter expert for transactions, employment agreements, promissory notes and/or corporate filings.
