      Job Overview

      Join JTC Group as a Senior Attorney - Legal. This role offers an exciting opportunity to provide comprehensive legal support within a dynamic, sector-specific environment. The position is based in a hybrid work setting and reports directly to the US General Counsel.

      Main Responsibilities

      1. Advise on and ensure compliance with corporate governance practices.
      2. Draft, review, and maintain corporate records, including board resolutions, bylaws, and minutes.
      3. Support corporate governance matters, including meetings, shareholder relations, and filings.
      4. Review and educate on regulatory developments, engaging in advocacy and industry discussions.
      5. Stay updated on legal changes affecting JTC's US services.
      6. Draft, review, and negotiate contracts such as Master Services, Escrow Agreements, vendor, and service contracts.
      7. Manage the contract lifecycle to ensure compliance and mitigate risks.
      8. Monitor legal developments related to corporate, securities, and employment laws.
      9. Assist with legal aspects of fund administration, contractual reviews, amendments, and transactional matters.
      10. Ensure compliance with securities filings and disclosures.
      11. Identify legal risks and advise on mitigation strategies.
      12. Collaborate internally on risk management policies.
      13. Manage litigation coordination with external counsel.
      14. Provide legal advice to management and business units daily.
      15. Support policy development and legal research.
      16. Coordinate with Global Legal and HR teams as needed.

      Minimum Requirements

      • Juris Doctor (JD) from an accredited law school.
      • Licensed in California or qualified as registered in-house counsel in California.
      • At least 7 years of corporate law experience, focusing on governance, contracts, and securities law.
      • Preferably experience in a corporate legal department or top-tier law firm.
      • Strong analytical, communication, drafting, negotiation, and leadership skills.
      • Ability to handle multiple projects under tight deadlines.
      • High integrity and professionalism.
      • Knowledge of international corporate law and cross-border transactions.
      • In-house experience is a plus; transactional experience with funds, securities, or real estate is beneficial.
