      About the Role

      This role, suitable for a part or fully qualified Chartered Governance Institute professional, will be central to helping ensure that the Company Secretarial team consistently delivers a high standard of corporate governance and company secretarial administration across all areas of ASOS globally. The role requires a confident and efficient candidate, with excellent communication skills, who has the ability to adapt their approach to ensure excellent interaction with a wide variety of business areas, and the agility to work at ASOS’s fast pace.

      Success in this role is helping the Deputy Company Secretary and the Company Secretary to ensure that the Board has complete confidence that the team have appropriately handled all matters relating to the operation of the PLC Board and the performance of the Department.

      What You’ll be Doing

      Responsibilities include but are not limited to:

      Board meetings

      • Assist the Deputy Company Secretary to facilitate the smooth operation of the Company’s formal processes and help organise PLC Board & Committee meetings; collate and distribute papers in a timely manner, ensuring quality and consistency; maintain the minute books for the PLC Board & Committees; maintain meeting attendance and minutes trackers; assist with forward looking agenda planners for the Board & Committees.
      • Assist with organising Board inductions periodic training for the Board.

      Annual General Meeting

      • Assist the Deputy Company Secretary with organising the annual general meeting; assist with drafting and distributing necessary documentation; liaise with Registrars.

      Annual Report & Accounts

      • Assist with the preparation of the Annual Report and Accounts, including drafting and review of the non-financial aspects.

      Listing Requirements, Share Dealing & Communication

      • Set closed periods and issue reminders as appropriate; prepare and release routine Stock Exchange announcements; maintain confidential/insider lists and keep the insider management platform up to date.
      • Operate the ASOS Share Dealing Code and deal with requests from employees and PDMRs; maintain Permission to Deal Register, Directors’ interests register and major shareholders register; ensure Stock Exchange announcements of PDMR dealings are made on a timely basis.
      • Arrange release of regulatory announcements via RNS.
      • Assist with maintenance of the Co Sec areas on the corporate website (www.asosplc.com)

      Group Structure Subsidiaries & Company Secretarial Administration

      • Support the subsidiary Boards including minute taking at certain subsidiary Board meetings and preparation of written resolutions.
      • Assist the Deputy Company Secretary with the administration of UK and International subsidiaries, including the appointments and removals of Directors and Officers; ensuring all confirmation statements and statutory accounts are filed on time; manage relationship with international service providers.
      • Maintain statutory registers on Blueprint to ensure reliable and accurate information is maintained and all corporate filing completed in a timely fashion.

      Share Scheme Administration

      • Liaise with the Reward team and third party share scheme administrators to ensure effective administration of the Company’s Asos Long Term Incentive Scheme (“ALTIS”) and Save As You Earn (“SAYE”) scheme, including assisting with the preparation of grant documentation, maintaining records of outstanding awards.
      • Liaise with the Company’s registrars and Employee Benefit Trust (“EBT”) regarding vesting of awards and new issues of shares.

      Other

      • Responsibility for the prompt and accurate raising, receipting, updating and cancelling (as required) of Purchase Orders (POs) for all Company Secretarial invoices and liaise with the payments team regarding payments.
      • Monitor the Gifts & Hospitality register.

      Qualifications

      Who We’d Like to Meet

      Someone highly organised with a positive attitude that has solid corporate governance and company secretarial experience in a Plc. Previous experience working in a fast-paced, agile, adaptable commercial environment an advantage.

      Communication is key to this role and all team members must be approachable & capable of adapting their approach and communications, to ensure excellent interaction with the wide variety of people and personalities across the unique environment of ASOS, so they can deliver on ASOS’ corporate governance objectives at the same time as acting as an antennae for what is going on across ASOS. The Department – and this role – can only achieve all that through being ambassadors for best practice in ASOS, and in particular living and exuding the ASOS values of Authenticity, Bravery, Creativity and Disciplined. We’re also fast paced, so all employees also need to be resilient and cope with change quickly, and be enthused and excited about what’s around the corner for us.

      Skills & Qualifications

      • A qualified or part-qualified chartered secretary, with Company Secretarial experience in a listed company environment
      • First rate IT skills, particularly in relation to the use of Excel, PowerPoint, and Sharepoint
      • Good working knowledge of Company Secretarial systems including Diligent Board & Entities
      • First rate attention to detail
      • Proactive attitude
      • Ability to work calmly under pressure and cope with peak work loads
      • Capability to prioritise workload without supervision
      • Tactfulness and discretion are crucial
      • Skill at pro-actively building connections in the business and getting what is needed from people
      • Confidence in dealing with and talking to all sorts of people
      • Willingness to learn and take on responsibility
      • Verbal communication skills to communicate with all levels of the organisation
      • Written communication skills to produce succinct correspondence
