      Description of the Job- Essential Duties and Responsibilities:

      Corporate Governance & Compliance:

      • Ensure that the company complies with all applicable laws, regulations, and statutory requirements.
      • Advise the board of directors and senior management on corporate governance best practices.
      • Maintain and update corporate records, including the register of shareholders, minutes of meetings, and resolutions.
      • Organize and prepare materials for board meetings, including agendas, reports, and minutes.
      • Ensure the timely filing of annual reports, financial statements, and other regulatory documents with relevant authorities.
      • Oversee corporate filings related to taxes, business registrations, and licenses.
      • Monitor changes in legislation that may affect the company and advise on the implications.

      2. Board Support and Administration:

      • Organize, schedule, and coordinate board meetings and annual general meetings (AGMs).
      • Ensure that decisions made during meetings are implemented and accurately documented.
      • Maintain a record of the company’s decisions, agreements, and other legal documents.
      • Ensure directors are informed of their legal responsibilities and obligations.
      • Prepare reports on corporate governance and compliance matters for board review.

      3. Legal & Regulatory Affairs:

      • Assist in the drafting, review, and approval of legal documents, contracts, and agreements, particularly those related to manufacturing operations (e.g., supplier contracts, labor agreements, and environmental regulations).
      • Work with external legal counsel to address any legal issues or disputes.
      • Ensure compliance with labor laws, safety regulations, environmental laws, and industry-specific standards.
      • Oversee the management of intellectual property (e.g., patents, trademarks) and contractual obligations.

      4. Risk Management:

      • Monitor and manage corporate risk, ensuring proper internal controls and compliance measures are in place.
      • Support the company in identifying and mitigating risks related to manufacturing operations, supply chain, and market changes.
      • Assist in corporate insurance and claims management.

      5. Liaison and Communication:

      • Act as a liaison between the board of directors, shareholders, and management teams.
      • Communicate with external stakeholders (e.g., regulatory bodies, suppliers, clients) on behalf of the company, ensuring that all communications adhere to legal and corporate standards.
      • Support shareholder relations, ensuring that shareholder rights are protected and communicated effectively.

      6. Corporate Social Responsibility (CSR) and Sustainability:

      • Ensure the company’s CSR activities align with legal and industry standards.
      • Oversee the implementation of sustainability initiatives within the manufacturing processes.
      • Assist in reporting on the company’s CSR and environmental impact, ensuring transparency in operations.
