- Manage and cross-functionally facilitate the execution of necessary processes, procedures and internal controls to ensure the Companies’ compliance with respect to all financing-related arrangements (including corporate and project-level financing arrangements) and associated requirements
- Manage certifications to assure that Vistra’s management has reported and complied with affirmative and negative financial covenants appropriately and in a timely manner
- Facilitate the reporting of all treasury-related information to other Vistra Finance teams
- Provide monthly administration and quarterly and annual reporting requirements to the PUCT, NRC and SEC for the nuclear decommissioning trust investments
- Provide directives to administrative agents, banking partners, trustees and/or transfer agent relating to Vistra’s credit agreement, debt securities and common stock
- Direct the activities of a professional staff that facilitates, processes, reports on and manages:
- (1) document compliance to mitigate potential for defaults;
- (2) letters of credit and parental guaranteed for credit enhancement purposes;
- (3) nuclear decommissioning trust (NDT) and retirement plans;
- (4) interest rate swap transactions;
- (5) timely payments related to corporate and project-level financings, the NDT, and retirement plans
- Provide oversight and reporting for Vistra’s retirement plan investments
- Oversee the management of electronic documents and compliance repository for Vistra’s financing arrangements
- Develop, manage, maintain, and drive department-wide visibility and adherence to an overall debt compliance calendar, inclusive of key periodic deadlines, required payment dates, etc.
- Experience gained through college degree plans or equivalent and/or CPA certification
- At least 10 years of experience in corporate accounting, SEC financial reporting, or other similar finance function
- Experience in leading and managing projects
- Excellent organization and time management skills
- Excellent verbal and written skills
- Working knowledge of the general ledger and financial reports; experience with SAP financial system preferred
- Understanding of GAAP and Sarbanes-Oxley
- Advanced skills in MS Excel, Word and PowerPoint

Job Summary
This position is accountable for debt-related financial compliance and reporting for Vistra Corp. and its subsidiaries, as well as supporting other finance-related activities. The primary responsibilities of the Director, Financial Compliance, among other activities, include leading the following key activities:
Manage and execute debt-related financial compliance processes pertaining to Vistra’s financing arrangements.
Drive awareness of material information relating to the Companies’ financing arrangements across key internal and external parties.
