      The Private Equity and Mergers & Acquisitions (PEMA) Practice draws from Marsh’s in-depth Global knowledge to deliver specialist services to the private equity, corporate, infrastructure, and alternative asset management industries. We work with clients during the lifecycle of an investment advising on risk and insurance matters at acquisition, portfolio management and, and exit / divestment stages. Our Global practice consists of more than 150 professionals based worldwide.

      The Transactional Risk (TR) team sits within the PEMA Practise and has a long-standing history of supporting private equity funds, corporates and law firms participating in M&A processes across the globe. We provide bespoke insurance solutions, such as warranty and indemnity insurance, to facilitate and enhance transactions. These solutions may be used by sellers to obtain a “clean” exit, or strategically by buyers to address transaction issues and enhance their bid.

      Working closely with a client’s deal team, the TR team structures warranty and indemnity insurance and other transactional risk insurance solutions to provide comprehensive coverage for liabilities arising under the sale and purchase agreement negotiated by our clients.

      Position Overview

      As a Transaction Risk broker, you will be responsible for working with clients and their legal representatives to advise on how M&A insurance products can be incorporated into a transaction process to enable them to meet their commercial objectives. This will include reviewing acquisition agreements and due diligence materials to identify and structure insurance solutions to provide alternative recourse solutions for breaches of the warranty package and other identified risks within a transaction.

      We will rely on you to:

      • Build and maintain relationships with the M&A community, including financial sponsors, corporates, law firms and other advisors.
      • Undertake in-depth analysis on each client transaction to understand all potential risks associated with the deal and advise on possible M&A insurance solutions.
      • Lead negotiations with insurers, in line with the commercial transaction strategy, to develop enhanced and bespoke policy wordings and coverage positions.
      • Provide strategic advice to clients on how M&A insurance products can be introduced to a transaction process enabling them to achieve their objectives.
      • Manage the policy and coverage negotiation process to ensure that the client’s commercial objectives are achieved
      • Work with colleagues across the PEMA division to ensure all available M&A services are introduced to the transaction.

      What you need to have:

      • Qualified lawyer with proven in-practice experience of corporate law is essential
      • Previous experience of working on private equity or M&A transactions is highly beneficial
      • Proven experience of developing client strategy and negotiating in support of that strategy is highly beneficial
