      CNA is currently recruiting for an Assistant Vice President & Assistant General Counsel for our US Businesses Law Department. This position provides legal services for the Warranty and Alternative Risk business unit. Individual will partner with the business leadership and is accountable for providing legal, regulatory and transactional guidance and advice to the business unit. Responsibilities consist of collaborating with the business leads to manage complex legal matters which require considerable legal judgment, experience and independent reasoning.

      The ideal candidate will have extensive knowledge of the Warranty business, P&C insurance industry, its products and services, as well as in several diverse disciplines of contract law, litigation, and insurance regulatory matters. Advanced communication skills and ability to establish self as a trusted advisor to senior business unit leaders and executives are key to the success of this role. Individual must be capable of building consensus and influencing internal and external relationships in a matrixed environment.

      General requirements for the role are JD and a license to practice law in at least one jurisdiction. Candidates should also have a minimum of 15 years of related legal work experience.

      JOB DESCRIPTION:

      Job Summary
      This officer position is responsible for providing comprehensive legal services to the Warranty and Alternative Risk Business Unit. Individual is an operational and legal expert in the area of Warranty and has an ongoing business partnership(s) and accountability for the business being served. Responsibilities include maintaining a strategic partnership with senior level business leaders to ensure effective implementation of strategic objectives and procedures, managing and overseeing highly complex legal assignments, and providing expert legal advice and guidance. This is an in-house legal role that requires significant experience in area of expertise.

      Essential Duties & Responsibilities
      Performs a combination of duties in accordance with departmental guidelines:

      • Partners with Warranty and Alternative Risk business leaders to manage and mitigate legal, compliance, and regulatory risks by providing legal counsel regarding highly complex legal and regulatory issues relevant to each the unique business operations.

      • Provides timely responses to the business leaders regarding related legal, regulatory and transactional questions and issues by conducting necessary research and analysis, interpreting contractual provisions and providing/documenting legal opinions and recommendations.

      • Supports Warranty and Alternative Risk business initiatives and operational improvement/procedural changes by ensuring compliance with local, state, federal regulations, drafting, reviewing and negotiating contracts with third party service providers, and evaluating internal protocols and process changes.

      • Partners with both business leaders on the development of external facing communication materials by reviewing customer marketing and promotional collateral, presentations, external communications, and training materials.

      • Maintains up-to-date on Warranty and Alternative Risk business specific legislative, regulatory and compliance developments and proactively ensures compliance with state/local/federal requirements by educating and providing guidance to business leaders, developing and implementing changes, and providing training, as necessary.

      • In collaboration with regulatory counsel, ensures compliance with state regulations by participating in market conduct exams and filings, responding timely to government agencies and investigating and preparing responses to DOI complaints.

      • Facilitates business partner learning and development by reviewing internal training materials and developing and delivering regulatory training.

      • Effectively handles transactional work and resolve legal and regulatory issues.

      • May be a designated liaison with government agencies and specific trade associations. Works on special projects as needed and may mentor other team members.

      Skills, Knowledge & Abilities

      • In-depth technical knowledge of theories and practices within contract law, insurance regulatory matters in support of Warranty and Alternative Risk.

      • Champions CNA with in-depth understanding of the company’s differentiating position in the industry, CNA’s products and services, as well as a working knowledge and understanding of competitors products and services.

      • Ability to act as a trusted advisor to senior level leaders by maintaining strong business partnerships and working collaboratively across Warranty and Alternative Risk business.

      • Ability to effectively interact and communicate with all levels of external and/or internal business partners within scope of responsibility, with demonstrated ability to succinctly present complex topics to senior leaders.

      • Demonstrated problem solving mindset with critical thinking skills and the ability to effectively evaluate and resolve ambiguous, and challenging business problems and to make effective business decisions.

      • Demonstrated ability to interpret and negotiate complex contracts.

      • Ability to multi-task and be champion change.

      • Knowledge of Microsoft Office Suite and other business-related software.

      • Ability to model CNA's leadership behaviors and value diverse opinions and ideas.

      Education & Experience

      • JD and a license to practice law in at least one jurisdiction required.

      • A minimum of fifteen years of related legal work experience in key specialties.

      • Prior experience supporting Warranty and Alternative Risk business unit.

      • Prior management experience is preferred.
