      Missions

      As Alan's senior Corporate Legal Counsel, you will contribute to an exceptionally diverse range of high-impact legal work:

      • You will own the legal structuring and the definition of the regulatory pathway for strategic launches including new business lines (e.g., insurance subsidiaries, specific health services) and international expansion. You will work closely with product and business teams to define set-ups that are both legally sound and business-enabling;

      • You will shepherd various M&A transactions (e.g., health tech companies, software bricks, etc.) from LOI to closing, working hand-in-hand with business owners and company leadership. You will independently structure deals, draft and negotiate LOIs and SPAs, run legal due diligence, identify and resolve deal-breaking issues, and deliver closed transactions;

      • You will solve multi-jurisdictional equity challenges, designing equity solutions for diverse groups and shipping attractive and compliant equity programs across countries;

      • You will own corporate governance legal operations by drafting Board resolutions and corporate documentation, making calls on shareholder rights and corporate law questions, structuring and executing share transfers and capital transactions, managing secondary transaction frameworks, and ensuring legal compliance of governance processes. You will strengthen Alan's governance structure to demonstrate autonomy and anticipate conflicts of interest;

      • You will systematically increase Alan's legal autonomy by building internal legal frameworks, templates, and decision-making guidelines that reduce reliance on external counsel. You will make judgment calls on legal risk and arbitrate which matters require external support versus in-house handling, and defend those calls based on risk assessments;

      • You will contribute to Alan's tax framework by partnering with Finance to dig into the legal aspects of complex international tax questions and of the product structures for our offerings;

      • You will manage the budget and quality of external legal work, providing clear briefs, challenging legal counsel advice, negotiating their fees, and deciding what we pay for vs. handle internally.

      You will work as part of the Corporate Governance Area, led by Anne-Lise Delfanne: a group where legal experts collaborate closely with strategists (called “corporate operations experts”) to orchestrate equity programs, governance operations, and company-wide strategic initiatives. Through mentorship and mutual challenge, all members of the Corporate Governance Area push each other to venture outside their primary expertise to drive stronger, faster and more holistic governance outcomes.

      You will also support teammates to develop a deep understanding of our legal and regulatory context so they can make educated decisions in the context of transversal projects - helping Alan to unlock new growth channels while securing our regulatory compliance.

      Key outcomes after six months

      After your first successful months at Alan, you will have:

      • Taken ownership of major legal workstreams (e.g., M&A legal work, legal framework for international expansion, or corporate legal support for a strategic product launch) from start to finish, demonstrating autonomy and velocity in providing sophisticated legal judgment, creativity to overcome obstacles, and high-quality drafting, and the ability to successfully manage external counsel relationships to deliver cost-effective outcomes;

      • Provided responsive legal contributions to different internal teams (e.g., Corporate Ops, Finance, Product, or People) on diverse legal matters, earning their trust as a reliable legal partner who understands Alan’s goals and provides practical solutions;

      • Built or enhanced legal templates and frameworks that increase Alan's legal autonomy (e.g., updated M&A playbook, new templates, or equity documentation for a new jurisdiction), reducing future reliance on external counsel;

      • Ramped up on Alan's written and async work methodology and demonstrated comfort with our culture of transparency, accountability, and distributed decision-making.


      Profile

      Hard skills

      • Experience:

        • 5 to 10 years Corporate, M&A and/or tax law practice in an international environment (drafting in English), with at least 3 years at a top international law firm

        • Strong expertise in at least one of Alan’s core corporate practice areas, with appetite to build transversal skills across the full Corporate Governance scope described above

      • Language: Mastery of legal writing in both French and English
