      The Executive Counsel will be a senior member of a team whose mission is to oversee and coordinate the complete range of GE’s securities law compliance, including SEC reporting, board of directors and other corporate governance matters, executive compensation disclosure and monitoring, securities aspects of M&A activity and other corporate transactions and global securities compliance. This role is with General Electric Company and will become a role with GE Aerospace as a standalone company following the planned spin-off of GE’s energy businesses (GE Vernova). The Executive Counsel will work closely with the following internal clients and groups and help advise the Company’s board of directors, CEO and other members of senior leadership: General Counsel, Controllership/Accounting, Financial Planning & Analysis, Investor Relations, Treasury, Human Resources (Executive Compensation, Employee Benefits), Communications and other groups within the Legal department.

      Location: Cincinnati, OH; Norwalk, CT; Washington, DC; or Flexible (US locations)

      Responsibilities include:

      • Advising on SEC reporting and monitoring, corporate governance, disclosure and securities and stock exchange listing compliance matters.
      • Counseling GE's board of directors, top business management and other employees across GE’s business securities laws, corporate governance and disclosure matters;
      • Preparing/reviewing the company's Exchange Act reports and Securities Act registration statements;
      • Helping to maintain and strengthen the company's disclosure controls and procedures and internal control over financial reporting;
      • Staying abreast of emerging trends and developments in securities law, corporate law and governance, and coordinating internal and external resources to provide education and training;
      • Assisting with the preparation of the company’s annual proxy statement;
      • Assisting with preparation for the company's annual meeting of shareowners, including engaging in investor outreach related to executive compensation and other corporate governance practices, and assessing and advising on GE's related policies and practices;
      • Advising senior management and Human Resources about securities and disclosure implications of executive compensation and employee benefits decisions, policies and plans;
      • Assisting with preparation for board of directors' meetings, including preparation of meeting agendas and materials and drafting board minutes;
      • Assisting with sustainability matters and stakeholder engagement activities, including formal and informal reporting on the Company’s narratives, progress and results across relevant environmental, social and governance (ESG) topic areas.

      Qualifications/Requirements:

      • Member in good standing of the bar of any state in the U.S.
      • Demonstrated knowledge and command of corporate and securities law issues, including executive compensation matters, with a minimum of seven years of practice, preferably at a law firm and/or in-house at another public company.
