- Assist in the formation of private equity, venture capital, real estate, and hedge funds.
- Support secondary transactions and the structuring of separately managed accounts and carry vehicles.
- Provide strategic advice on fund formation and investment opportunities, including legal and regulatory considerations.
- Draft, review, and negotiate a wide range of fund-related documents, including partnership agreements, investment management agreements, and subscription documents.
- Work on structuring amendments, side letters, and private placements.
- Maintain direct communication with clients, providing legal advice and assisting in the negotiation and structuring of fund investments.
- Manage client expectations and relationships effectively, delivering high-quality legal services.
- Collaborate with senior associates and partners to ensure seamless execution of complex transactions.
- Provide mentorship and guidance to junior attorneys and support staff on investment funds-related matters.
- A minimum of 5 years of experience in investment funds, with a focus on private equity, venture capital, real estate, and hedge funds.
- Experience in secondary transactions, separately managed accounts, and carry vehicle structuring is preferred.
- Strong analytical and problem-solving skills, with the ability to think conceptually and approach challenges with creative solutions.
- Excellent organizational and time management skills, with the ability to handle multiple projects and deadlines.
- High level of attention to detail in drafting and reviewing legal documents.
- Excellent written and verbal communication skills, with the ability to articulate complex legal concepts clearly and persuasively.
- Strong interpersonal skills and the ability to collaborate effectively with clients, colleagues, and stakeholders.
- Juris Doctor (J.D.) degree from an accredited law school.
- Bar Admission: Must be admitted to practice in the jurisdiction where you are applying (California preferred).
