      Provides legal assistance to the Sr. VP General Counsel and Associate General Counsel. Assists in protecting company's legal interests and maintaining its operations within the scope established by law. Duties may include implementing and managing contract management software; reviewing, negotiating and revising contracts and agreements in accordance with company policies and legal requirements; litigation support; and assistance with other legal activities and correspondence.

      The successful candidate will report directly to the Senior VP General Counsel. The position location is flexible, but the placement must be willing to travel.

      Alaska, California, Colorado, Delaware, Hawaii, Idaho, Maine, Montana, Nevada, New Hampshire, New York, North Dakota, Rhode Island, South Dakota, Vermont, Washington, Wyoming; residents are not eligible.

      Responsibilities

      • Implementing and managing contract management software, such as Legal Track or similar systems.
      • Coordinating with company departments for utilization of contract management software.
      • Reviewing and editing contracts, suggesting, and making revisions, forwarding to the correct parties for signature, and following through the process to completion.
      • Collecting, reviewing, redacting, and preparing documents for production in response to subpoenas and other legal productions and submissions.
      • Maintaining department files and organization of database.
      • Responsible for supporting other departments in all aspects of facility accreditation.
      • Providing litigation support.
      • Assisting in the preparation of critical documents for mergers and acquisitions, financings, and other corporate transactions.
      • Maintaining Corporate books, including generating governance documents as requested.
      • Conducting legal research, as necessary.
      • Generating correspondence for the General Counsel / Associate General Counsel.
      • Completing and submitting miscellaneous registration forms.
      • Managing special projects as assigned.
      • Working with and assisting other departments managed by the General Counsel as needed, including Compliance, Licensing, and Payor Services.
      • As needed, interacting with outside counsel, vendors, etc.
      • May be asked to assist with general administrative work within the department, as needed.
      • Maintaining a high degree of confidentiality at all times due to access to sensitive information.
      • Maintaining regular, predictable, and consistent attendance and flexibility to meet the needs of the department.
      • Following all Medicare, Medicaid, HIPAA, and Private Insurance regulations and requirements.
      • Abiding by all regulations, policies, procedures, and standards.

      Qualifications

      • Associates degree in Paralegal Studies from an accredited college or university, and/or four or more years of corporate or law firm paralegal experience and/or equivalent combination of education and experience.
      • Strong understanding of technical legal terminology
      • Contract management software experience.
      • Extensive grammar, spelling, and punctuation skills
      • Time Management.
      • Strong multi-tasking skills.
      • Ability to review and redline various contracts and agreements.
      • Highly organized with attention to details.
      • Proficient with various Microsoft Office software such as Word, Excel, and PowerPoint.
      • Ability to travel to Company offices if requested and coordinated in advance (
