What to Expect (Job Responsibilities):
- Counsel and advise on corporate and securities law matters, ensuring compliance with governance policies
- Support board of directors and committee matters, including meeting agendas and governance policy updates
- Advise on investor relations, equity transfer requests, and equity plan management
- Provide legal guidance on strategic transactions, including mergers, acquisitions, and corporate financing
- Partner with finance and compliance teams on financial audits and regulatory filings
What is Required (Qualifications):
- J.D. degree with an active law license and a current member of a State bar
- Minimum of 6 years of combined legal experience, including in-house experience at a technology company
- Experience with late-stage private companies transitioning to public entities
- Comprehensive understanding of securities law compliance, including SEC reporting requirements
- Strong problem-solving skills, with the ability to provide practical and solution-oriented legal advice
