- Draft, negotiate, review, revise, and approve legal terms and conditions of contracts and amendments prior to execution by management.
- Coordinate risk management with outside counsel.
- Assist Associate General Counsel, Assistant General Counsel, Deputy General Counsel and General Counsel with transactional and stratigic matters, acquisition integration, special projects and governmental/media relations matters as needed.
- This role will review business cases to provide counsel and guidance on necessary business changes. Makes decisions with considerable impact on the organization.
- Drives process improvement initiatives and special projects, acts as the lead on tactical and strategic projects.
- Lead the coordination of risk management and litigation issues with outside counsel. Partner with outside counsel on special projects and/or new work, and own the outside counsel partnership for given project or initiative.
- Respond to inquiries from Premier Members.
- 10+ years of applicable experience
- Strong transactional experience in drafting and reviewing commercial agreements and negotiating contracts.
- Healthcare, TPS and insurance transactional and regulatory experience preferred.
- Juris Doctorate Required
- Law Degree with strong academic credentials - Top 25% of class preferred.
- Transaction experience / contract law/ healthcare law experience preferred.

Senior Corporate Counsel
What will you be doing:
Working under the supervision of the Assistant General Counsel, Deputy General Counsel, and/or General Counsel, the Senior Corporate Counsel will be primarily responsible for providing legal expert advice, guidance and support to Premier’s Contigo Health and Catavert business units.
This position will design, draft, review and negotiate complex agreements along with providing legal advice in all areas of the Contigo Health and Catavert businesses. This includes being the Legal teams subject matter expert in the areal of TPA administration and ERISA health and welfare plans, and agency/broker services related to providing stop loss insurance and related products. This resource will serve as an expert in state and national healthcare laws including but not limited to ACA, HIPAA, HITECH, ERISA, etc.
Responsibilities include negotiation and approval of member, data license, consulting and related agreements. This position will provide leadership on acquisition integration matters for subject business units. Additional responsibilities will include training sessions on relevant legal matters, monitoring current legal developments related to areas of responsibility as assigned by the General Counsel.
The position requires working independently on complex legal matters with various business teams and senior management and providing legal guidance that is clear and actionable in a time sensitive manner. The position will interact with Premier members, vendors, regulatory agencies and with outside counsel on assigned matters.

Premier’s compensation philosophy is to ensure that compensation is reasonable, equitable, and competitive in order to attract and retain talented and highly skilled employees. Premier’s internal salary range for this role is $155,000 - $289,000. Final salary is dependent upon several market factors including, but not limited to, departmental budgets, internal equity, education, unique skills/experience, and geographic location. Premier utilizes a wide-range salary structure to allow base salary flexibility within our ranges.
