      Contracts Specialist / Legal Counsel (W2 role)
      3+ months (possible extension)
      Burlington, MA (100% Remote)

      Position Overview:
      • We are looking for a Contracts Specialist or Legal Counsel to join our legal team to help lead a special project.
      • This role will work closely with finance and will involve providing practical, thoughtful and quick answers and problem solving to ensure we are facilitating set up of Client as a new vendor for our customers.
      • The Contracts Specialist / Legal Counsel will be required to draft and manage various agreements, including assignment agreements for revenue generating contracts.
      • The successful candidate will assist with efficient development of the customer onboarding function and its processes.

      Responsibilities
      • Write, review, draft, and manage final execution of customer assignment agreements
      • Drive efficient and swift process to ensure Black Duck is onboarded as a vendor for all customers
      • Provide effective guidance on process to management
      • Act as a liaison between internal and external customers to efficiently drive the process to conclusion
      • Develop processes and analytics to track outstanding assignments
      • Prepare and administer routine and/or specialized correspondence
      • Collaborate with finance to ensure successful completion of project
      • Assist in other contracts management duties that may arise from time to time.

      Minimum Education and Experience Requirements:
      • 4-7 years of experience in the creation, negotiation, preparation, administration of technology-related agreements
      • 2+ years of experience with SaaS and/or enterprise software agreements is preferred
      • Intellectual curiosity about Company customers, products/technology, and contract provisions
      • Bachelor’s degree, or equivalent is a plus

      Required Knowledge, Skills, And Abilities
      • Excellent drafting skills; excellent verbal communication and negotiation skills
      • Ability to interface with all levels
      • Ability to handle and resolve conflicts in a professional and tactful manner
      • Strong analytical skills and interpersonal skills with ability to effectively work in a team environment and under general supervision
      • Strong understanding of contract provisions
      • Successfully accomplish work with a high degree of independence
      • Balance competing priorities with short lead times
      • Proficiency in MS Office, especially Word and Excel, is required
      • Experience with SalesForce.com is preferred
      • Experience with DocuSign is preferred
