      What to Expect (Job Responsibilities):
      - Support attorneys in complex transactional matters, including M&A, private equity, and corporate governance
      - Assist with due diligence and preparation of legal documents, including corporate filings and closing certificates
      - Maintain corporate records and manage capitalization tables, stock options, and equity compensation
      - Conduct legal research and ensure compliance with regulatory requirements
      - Liaise with clients and third parties to coordinate filings and maintain accurate documentation

      What is Required (Qualifications):
      - Bachelor's degree required; Paralegal certification preferred
      - Minimum 3-5 years of experience as a corporate paralegal, with a focus on M&A and securities
      - Excellent written and oral communication skills
      - Proficiency in Microsoft Office Suite and deal management software (e.g., Carta, Pulley)
      - Strong attention to detail and ability to manage complex transactions

      How to Stand Out (Preferred Qualifications):
      - Familiarity with Blue Sky compliance, UCC filings, and SEC reporting
      - Experience with peer training and knowledge sharing in a paralegal context
      - Proactive and client-service-oriented approach to problem-solving
