What to Expect (Job Responsibilities):
- Assist with preparation and coordination of corporate and SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports
- Support corporate governance activities, including drafting minutes, resolutions, and agendas
- Oversee subsidiary management, including entity records and annual filings
- Manage legal aspects of acquisitions, financings, and capital market transactions
- Collaborate with other departments on special projects and initiatives
What is Required (Qualifications):
- Bachelor’s degree and paralegal certification
- 7+ years in a corporate paralegal role at a public company or major law firm
- Experience supporting SEC reporting, including Forms 10-K, 10-Q, and proxy statements
- Proven support of Board of Directors and committee governance processes
- Demonstrated responsibility for corporate records and subsidiary management
How to Stand Out (Preferred Qualifications):
- Background in a high-growth technology company
- Proficiency with Workiva (Wdesk), Boardvantage, EDGAR, and Google Workspace
- Experience with insider trading compliance programs and Rule 10b5-1 plans
- Participation in debt or equity offerings and M&A transactions
- Track record of improving governance workflows or implementing legal technology solutions
